1. Acceptance of Terms

By accessing or using the Pinnasys website (pinnasys.com) or any services provided by Company Software Pvt. Ltd. ("Pinnasys", "we", "us", or "our"), you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please discontinue use of our website and services immediately.

These Terms apply to all visitors, users, clients, and others who access or use our website, engage with our AI solutions, or enter into a professional services agreement with Pinnasys.

2. Services Description

Pinnasys provides custom AI development, agentic AI systems, AI consulting, AI integration, conversational AI, AI automation, and AI enterprise search services. The specific scope, deliverables, timelines, and fees for professional engagements are defined separately in individual Statements of Work (SOW) or service agreements entered into between Pinnasys and the client.

We reserve the right to modify, suspend, or discontinue any part of our services or website at any time without prior notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

3. Acceptable Use

You agree to use our website and services only for lawful purposes and in a manner consistent with all applicable local, national, and international laws and regulations. You must not:

• Use our website or services to transmit unsolicited or unauthorized advertising or promotional material (spam).
• Attempt to gain unauthorized access to any part of the website, server, or network connected to the website.
• Introduce viruses, trojans, worms, logic bombs, or any other malicious or technologically harmful material.
• Reproduce, duplicate, copy, sell, or resell any part of our website or services in violation of these Terms.
• Use any automated means (bots, scrapers, crawlers) to access or collect information from the website without our prior written consent.
• Impersonate Pinnasys, its employees, or any other person or entity.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the website.

4. Intellectual Property

All content on this website — including but not limited to text, graphics, logos, icons, images, audio clips, code, and software — is the property of Pinnasys or its content suppliers and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use this website for personal and informational purposes only. Nothing in these Terms transfers any intellectual property rights to you.

Work product created by Pinnasys under a client engagement is governed by the intellectual property provisions of the applicable service agreement or SOW between the parties.

5. Confidentiality

Pinnasys takes client confidentiality seriously. Any proprietary information, business data, or technical details shared with us during an engagement are treated as confidential and will not be disclosed to third parties without your consent, except as required by law.

Clients may request a Non-Disclosure Agreement (NDA) prior to sharing sensitive information. Pinnasys is prepared to execute NDAs as part of our standard engagement process.

6. Disclaimer of Warranties

Our website and its content are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Pinnasys does not warrant that the website will be error-free, uninterrupted, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content on the website.

AI-generated outputs, recommendations, and automation results provided through our solutions are intended to augment human decision-making and should not be relied upon as the sole basis for critical business, legal, medical, or financial decisions.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Pinnasys and its officers, directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, business opportunities, or goodwill — arising out of or in connection with your use of or inability to use our website or services.

Our total aggregate liability to you for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to Pinnasys in the three (3) months preceding the claim.

8. Third-Party Links and Integrations

Our website may contain links to third-party websites, tools, or services. These links are provided for convenience only. Pinnasys does not endorse, control, or assume responsibility for the content, privacy practices, or availability of any third-party sites.

When our AI solutions are integrated with third-party platforms, APIs, or data sources, your use of those platforms remains subject to their respective terms and privacy policies. Pinnasys is not responsible for data handling by third-party providers.

9. Data and Privacy

Your use of our website and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our website, you consent to the collection and use of your information as described in our Privacy Policy.

Pinnasys implements industry-standard security measures to protect data shared with us. However, no method of transmission over the internet or electronic storage is 100% secure, and we cannot guarantee absolute data security.

10. Indemnification

You agree to indemnify, defend, and hold harmless Pinnasys, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of or inability to use our website or services; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of a third party; or (d) any content you submit or transmit through our website.

11. Termination

Pinnasys reserves the right to suspend or terminate your access to our website or services at any time and for any reason, including but not limited to a violation of these Terms, without prior notice or liability.

Provisions of these Terms that by their nature should survive termination — including but not limited to intellectual property rights, disclaimers, limitations of liability, and governing law — shall survive any termination.

12. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we do, we will revise the "Last Updated" date at the top of this page. Continued use of our website or services after changes become effective constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically to stay informed of any updates.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India.

For clients in the United States, United Kingdom, or Australia, any disputes arising under a client service agreement shall be governed as specified within that agreement.

14. Fees and Payment

Fees for professional engagements are set out in the applicable SOW or service agreement. Unless stated otherwise, invoices are payable within thirty (30) days of the invoice date, in the currency specified in the agreement.

Late payments may incur interest at the rate stated in the agreement, and Pinnasys may pause work on an engagement until overdue amounts are settled. Taxes, duties, and third-party platform or API costs are the client's responsibility unless the agreement says otherwise.

15. Client Responsibilities

To deliver services on schedule, we depend on timely cooperation from you. Clients agree to:

• Provide accurate, complete, and lawful information, data, and access needed for the engagement.
• Make decision-makers and subject-matter experts reasonably available for reviews and approvals.
• Ensure you hold the rights and consents required for any data you ask us to process.
• Keep credentials, API keys, and system access you share with us secure and revoke them when no longer needed.

16. Force Majeure

Neither party will be liable for a delay or failure to perform caused by events beyond its reasonable control, including natural disasters, power or internet outages, government action, labour disputes, or failures of third-party cloud and AI model providers. The affected party must notify the other promptly and resume performance as soon as practicable.

17. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision is not a waiver of that right.

These Terms, together with our Privacy Policy and any signed SOW or service agreement, form the entire agreement between you and Pinnasys regarding their subject matter. Where a signed agreement conflicts with these Terms, the signed agreement prevails.

18. AI Services and Third-Party Models

Many of our solutions are built on large language models and other AI services supplied by third parties, such as Anthropic's Claude. These providers publish their own usage policies, and where they apply to a deployment, the client agrees to comply with them. We will identify the providers used in each project in the SOW or related documentation.

AI systems can produce output that is incomplete, inaccurate, or unexpected. Clients are responsible for reviewing outputs, setting appropriate human oversight, and testing a solution against their own data and processes before relying on it in production. Where requested, we help define evaluation criteria and monitoring so that quality can be measured over time.

• Model behavior can change when a provider updates or retires a model, and we will notify you of changes that materially affect your solution where we are informed of them.
• You must not use our solutions to generate unlawful, deceptive, or harmful content, or to make fully automated decisions that significantly affect individuals without lawful basis and human review.
• Unless the agreement says otherwise, we do not use client data to train models for other customers.

19. Deliverables, Acceptance, and Support

Deliverables are provided as described in the applicable SOW. Unless the agreement states a different process, you will have ten (10) business days after delivery to review each deliverable and notify us in writing of any material non-conformance with the agreed specification. If we do not hear from you within that period, the deliverable is treated as accepted.

Where non-conformance is confirmed, we will correct it within a reasonable time at no additional charge. Ongoing support, maintenance, monitoring, and enhancements are available under a separate support plan or change request and are not included in a fixed-scope engagement unless the SOW says so.

20. Client Content and Feedback

You retain ownership of the data, documents, and other materials you provide to us ("Client Content"). You grant Pinnasys a limited license to use Client Content solely to perform the services, and that license ends when the engagement ends, subject to any retention required by law.

If you give us suggestions, ideas, or feedback about our website or services, you agree we may use them without restriction or obligation to you, provided we do not disclose your confidential information in doing so.

21. Export Controls and Compliance

You agree to comply with all applicable export control, sanctions, anti-bribery, and anti-corruption laws in connection with your use of our services. You confirm that you are not located in, or controlled by a person located in, a jurisdiction or listed party to which the provision of our services is prohibited by law.

Each party will conduct its dealings with the other in an ethical and lawful manner, and we may suspend work if we reasonably believe that continuing would breach applicable law.

22. Notices, Assignment, and Relationship of the Parties

Formal notices under these Terms must be in writing and sent to hello@pinnasys.com or to the address shown in the Contact section, or to the address you provide in a signed agreement. Notices are treated as received when delivered by email with confirmation or two business days after posting.

You may not assign or transfer your rights under these Terms without our prior written consent. Pinnasys may assign these Terms in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Pinnasys; each party acts as an independent contractor.
